LOCKERZ GRAB BAG PROMOTION

TERMS AND CONDITIONS

1) No purchase is necessary to enter or win the Lockerz Grab Bag Promotion (“Promotion”). Nor will a purchase affect the chances of you or your collection being selected for or awarded any of the prizes.

2) By entering, you confirm that you have read, accepted and agreed to abide by the Lockerz Terms of Use and Privacy Policy and that you are a member in good standing in full compliance with them. You acknowledge and agree that under the Terms of Use and as part of the terms and conditions of this Promotion, Lockerz in its sole discretion will make all determinations regarding eligibility, Qualifying Grabs (as defined below), unique members making Qualifying Grabs, and all other aspects related to this Promotion, unless expressly stated otherwise. Lockerz has the right to determine, confirm, and/or re-evaluate eligibility requirements at any time, including without limitation, after any selection, notification, or announcement of a prize. All Promotion-related determinations will be final.

3) This Promotion and/or your participation in it is limited to residents of the United States and is void where prohibited by law, rules or regulations, is time limited, and is subject to all of the terms and conditions set forth. By choosing to participate, you represent to Lockerz that your participation is not prohibited. Lockerz also reserves the right to cancel, suspend, or modify part of or this entire promotion at any time without notice, for any reason in its sole discretion, including without limitation, the actual prizes to be awarded.

Selection and Eligibility Criteria:
4) To be eligible to participate in this Promotion, a Lockerz member also must complete the contest entry form: .

5) In order to be deemed a “Qualifying Grab” and considered as eligible and attributable to a unique Lockerz member as part of this Promotion, all of the following conditions must be met in full:

1. The Grab must be executed using the Lockerz Grab button appearing with legitimately posted Decalz on the Lockerz Website, MobileWeb or iOS Application.
2. The Grab is executed by and becomes associated with the account of a unique Lockerz member in good standing (i.e., in full compliance with the Terms of Use) directly and specifically from one of your Decalz Collections.  No Grab of Decalz from the collection of another member will be deemed a Qualifying Grab for you, even if the other member previously obtained the grabbed Decalz from a collection and/or Decalz associated with your account.  For example, if Member A Grabs a Decalz from your collection, that may be counted as a Qualifying Grab.  If Member A Grabs a Decalz from your collection to add to her collection and then Member B Grabs that Decalz from Member A’s collection, Member B’s action is a “re-grab” that will not be counted as a Qualifying Grab from you.
3. The Grab is executed by and becomes associated with the account of a unique Lockerz member no earlier than 12:00 a.m. Eastern Standard Time on August 22, 2012 and by 11:59 p.m. Eastern Standard Time on September 6, 2012;
4. The Grab becomes part of the collections of a unique Lockerz member’s separate account, is properly credited as earning PTZ® for that member, and is that member’s only Grab of any Decalz from among your Decalz.  In other words, one Lockerz member can only obtain you credit for one Qualifying Grab on one occasion.
5. The Grab complies fully with the Terms of Use, including without limitation, all requirements for Submissions and not contain, reflect, or be the product of any prohibited activity. As an example, you have the right to use the material in the Submission and none of the Decalz that make up a collection can be in Lockerz’s assessment defamatory, obscene or indecent, threatening, discriminatory or otherwise contain or depict anything offensive or inappropriate.

6) Each unique Lockerz member who performs a Qualifying Grab of a Decalz from one of your Decalz Collections will only be counted once.  A unique Lockerz member is deemed to be a distinct, identifiable person with her/his own Lockerz membership account in accordance with the Terms of Use. 

7) Lockerz alone and in its sole discretion will make all determinations related to whether a Qualifying Grab has occurred and the counting of unique Lockerz members making such Qualifying Grabs from your Decalz Collections.  All such determinations will be final. Those determinations include but are not limited to whether a grab has occurred within the required time period, which will be based on Lockerz’ computer systems, not on any of your systems or devices, and whether any grab or related activity, including without limitation, the posting of the grabbed Decalz, considered in whole or in part, involves, reflects, or is the product of any prohibited activity under the Terms of Use. Regardless of any impact on the making or counting of a Qualifying Grab by a unique Lockerz member, Lockerz reserves all rights under the Terms of Use, including the right to remove any Decalz or Decalz Collections and to take actions related to the member that it deems appropriate, up to and including, termination of the membership.

8) Each participant may have and create as many Decalz Collections as he or she wishes from which others may make Qualifying Grabs.

9) Subject to a determination of eligibility, Promotion participants will be ranked in order from highest to lowest based on the number of unique Lockerz members who have made Qualifying Grabs of Decalz from such participant’s Decalz Collections.  Grand Winners will have the opportunity to select one item from the Grand Winner category, approximate retail value of each item in this category will range from an estimated $500 to $1200 (USD).  First Place Winners will have the opportunity to select from one item from the First Place Winner Category, approximate retail value of each item in this category will range from an estimated $100 to $300 (USD).  Second Place Winners will have the opportunity to select one item from the Second Place Winner Category, approximate retail value of each item in this category will range from an estimated $20 to $100 (USD).  The final category of winners will be sent a Lockerz t-shirt, approximate retail value of $15 (USD). That t-shirt will be the size and sent to the mailing address indicated in the Winner’s promotion registration form.  If no size is indicated, a size of Lockerz’ choosing will be sent and will not be returnable for a different size.  If no address is indicated or a sent item is returned to Lockerz as undeliverable to the provided address, that person’s win will be cancelled and a new Winner may be selected.  Lockerz anticipates having up to four (4) Grand Winners and up to ten (10) First Place Winners; however, Lockerz reserves all rights to increase or decrease the number of winners and items in each category based on factors such as the total number of eligible participants in the Promotion and the level of unique Lockerz members who engage in Qualifying Grabs.  No item awarded through this Promotion will be shipped to any location outside of the United States.

10) Grand and First Place Winners will be notified sequentially based on their rank order as referenced above of the win and the chance to make one selection from the available listed items.  A Grand or First Place Winner must inform Lockerz of her/his selection within 24 hours after Lockerz dispatches the notice. Grand and First Place Winners may select only one item.  Not all items in a category will be the same.  However, Lockerz will select items of comparable estimated retail value within the stated retail value range for the Grand and First Place categories, respectively.  No item(s) other than those Lockerz has selected will be awarded or substituted, except at the sole discretion of Lockerz. Lockerz will not redeem any item for cash value or award cash in lieu of an item. Inventories of items are limited and any given item may no longer be available at the time of a Grand or First Place Winner’s selection.  No particular item or items, whether individually or by category, are guaranteed or promised.

11) If your participation in this Promotion is terminated by Lockerz for any reason prior to the completion of any activity related to Promotion, including but not limited to the selection of Winners, there will be no cash or other compensation provided to you. Lockerz also reserves the right to select another Winner if you are unable or unwilling to fulfill any requirements, fail to respond within one (1) day after initial winner notification, or are determined at any time to have been ineligible or have engaged in conduct rendering you ineligible.

Additional General Requirements:
12) Chances of winning will vary depending on many factors, including the total number of eligible participants, the skill you and other entrants demonstrate in curating Decalz Collections, and the appeal of the Decalz to other Lockerz members.  If you are under the age of majority where you live (e.g., under the age of 18), you need the permission of a parent, guardian, or other legally responsible adult to participate.

13) By entering this Promotion, you agree that no Submission you have made is for a commercial purpose and that you bear sole responsibility and liability for any and all costs, expenses, acts or conduct, whether intentional or unintentional, related to your participation in this Promotion. Lockerz bears no responsibility for and expressly disclaims any liability for the acts or omissions of you and anyone else involved in any aspect of your participation in the Promotion. You also agree to release Lockerz, its directors, officers, employees, representatives and agents from any and all liability arising out of any aspect of your participation in this Promotion, whether under a theory of contract, tort, warranty, or other theory and to indemnify and hold harmless Lockerz, its directors, officers, employees, representatives and agents from any claims, lawsuits, losses, or damages asserted by third parties that are related in any way to your participation in the Promotion.

14) A list of Grand and First Place Winners will be available upon request after October 31, 2012.

15) If selected as a Winner, you agree and grant Lockerz the right to publish, display, make public, or otherwise use the following personal information, including on any publicly accessible portion of the Website (e.g., the Hallway or the Lockerz Blog) or through other social media (e.g., on the Lockerz Facebook page or Twitter account): (1) Your first name and last name and (2) your city and state. You also understand and agree that this express consent to disclose certain personally identifiable information is consistent with the Lockerz Privacy Policy whose terms are a condition of and govern your use of the Website and could result in this information appearing elsewhere, whether online or offline, without further action or fault of Lockerz.

16) Employees of Lockerz, Inc. business partners, and their immediate families may be counted as unique Lockerz members who have made Qualifying Grabs of other member’s Decalz, but they are not eligible to win any items associated with this Promotion.

17) No third party, carrier, merchant or service provider that may be used in connection with your participating in this Promotion or any of the items to be awarded or whose goods, services, marks or likeness may be depicted in a Decalz Collection or any Decalz is a sponsor of or affiliated or connected in any way with the Promotion.

18) Neither Facebook nor Twitter is a sponsor of or affiliated or connected in any way with this Promotion.
