TERMS AND CONDITIONS

 To be eligible to participate in iHeartRadio Music Festival Giveaway (“Promotion”) and to win the Grand Prize, you:

• Must be a resident of the United States;
• Must be a Lockerz member in good standing (i.e., in compliance with the Lockerz Terms of Use);
• Must be 18 years old or the age of majority in the state or jurisdiction in which you reside (whichever is older) or have the permission of a parent, guardian or other legally responsible adult to participate;
• Once Lockerz selects a member from among those who are Qualified (as defined below) to win, that member, in addition to having to be eligible and Qualified, must respond to the notice sent by Lockerz and must do so no later than 12:00 pm Eastern Daylight Savings Time on September 14, 2012.  As part of that response, the selected member must provide Lockerz with a) First and last name; b) Home and mailing address; c) Current working phone number; and d) Current email address with such information corresponding to that contained in her/his membership account registration.  Lockerz also may require the member to also provide written proof verifying such information and age (and, if a minor, provide a signed parental or guardian consent).  Any failure to provide timely, complete or accurate responses will result in the disqualification of that member, the forfeiture of the prize, and the selection of an alternate as a possible Grand Prize winner.

General

1. No purchase is necessary to enter or win.  Nor will a purchase affect your chances of being selected for any prize.
2. By entering, you confirm that you have read, accepted and agreed to abide by the Terms of Use and Privacy Policy and that you are in full compliance with them. You acknowledge and agree that under the Terms of Use and as part of the terms and conditions of this Promotion, Lockerz in its sole discretion will make all determinations regarding contest eligibility, other qualifications (yours and all others set forth in these terms and conditions), administration of this Promotion, including selection of Grand Prize winner, and all other aspects related to this Promotion.  Lockerz has the right to determine, confirm, and/or re-evaluate eligibility and qualifications at any time, including without limitation, after any selection, notification, or announcement of a prize.  All promotion-related determinations will be at Lockerz’s sole discretion and will be final.
3. This Promotion and/or your participation in it is void where prohibited by law, rules or regulations, is time limited, and is subject to all of the terms and conditions set forth.  By choosing to participate, you represent to Lockerz that your participation is not prohibited.  Lockerz also reserves the right to cancel, suspend, or modify part of or this entire promotion at any time without notice, if in its sole discretion, it is impossible or impractical to complete the Promotion as planned for any reason, including without limitation, cancellation of all or part of the 2012 iHeartRadio Music Festival, tampering, unauthorized intervention, computer, systems, network or other technical problems of any kind.

Selection and Additional Qualifying Criteria

1. Only Lockerz members who are eligible to participate in this Promotion may enter.  Each such Lockerz member also must fully satisfy all of the following additional conditions in order to be deemed “Qualified” and eligible for further consideration to win the Grand Prize:
   1. No earlier than the start of this Promotion at 12:01 am Eastern Daylight Savings Time on September 6, 2012, you will have invited persons 13 years old or older to become a Lockerz member using your personal invite link as made available to you through the Lockerz website (e.g., http://lockerz.com/invite?ref=yourname)
   2. Between 12:01 am Eastern Daylight Savings Time on September 6, 2012 and 11:59 pm Eastern Daylight Savings Time on September 12, 2012, (the “Promotion Period”) no fewer than five (5) of the people you specifically invited to become Lockerz members actually become a new and unique Lockerz member in good standing.

For purposes of satisfying this criterion, “new” means this invited person is not or was not a Lockerz member before the start of the Promotion Period and “unique” means that the person does not have any other Lockerz membership accounts, is not fictitious or masquerading as another person, or is not in any other way acting or attempting to act contrary to the Terms of Use with respect to any aspect of her/his membership.

1. Lockerz alone will make all determinations regarding the satisfaction of the foregoing conditions, including without limitation, the time and meeting of entry and response deadlines by you and any persons you have invited to become Lockerz members.  All such determinations will be based on Lockerz’s computer systems, not on any of your systems or devices, and will be final. Failure to fully satisfy any aspect of 4(a) and/or 4(b) will result in your disqualification and ineligibility to win any prize.
2. Only one entry per unique Lockerz member will be permitted.  Any multiple entries or efforts to enter more than once will result in the disqualification of the entrant, all entries made or attempted by the entrant, and, any persons Lockerz determines aided in or cooperated with the offending entrant or the entries.  Lockerz also reserves the right to review your conduct or that of other members in light of the Terms of Use and to take any actions thereunder it deems appropriate for any violations.  Without being exhaustive and by way of example, you may not create or use multiple, fake or temporary email accounts, sell or purchase invitations for membership, or use or enable other to use any device, software, routine or method that involves deception, manipulation or other means to mimic, fake or otherwise simulate actual user activity on the Lockerz website (e.g., signing up to become a member, creating a Decalz Collection).
3. Neither you nor any of the invitees counted toward making you a Qualified Member has sought or gained unfair advantage in participating in the Promotion or obtaining status as a winner using any deceptive, misleading or fraudulent means.  As with all other aspects of this Promotion, this determination will be made by Lockerz in its sole discretion, and all such determinations are final.   
4. Only Qualified Members, as determined by Lockerz under the terms and conditions of this Promotion, will be deemed eligible to win the Grand Prize. 
5. Lockerz will randomly select a potential winner of the Grand Prize from all Qualified Members collectively who qualified exclusively during the Promotion Period.  However, that selection will be subject to verification that all entry and eligibility qualifications have been met.  The determinations and verification made by Lockerz are solely with its discretion and are final.  If Lockerz determines the potential winner is not a Qualified Member or is otherwise ineligible to participate in the Promotion, the potential winner will be disqualified and the prize will be forfeited.  Lockerz will then randomly select an alternate potential winner from among the remaining pool of Qualified Members until a winner is determined to have met all of the required terms and conditions.
6. As part of the verification process, the potential winner must respond to the notice of selection received from Lockerz no later than 12:00 pm Eastern Daylight Savings Time on September 14, 2012.  If the potential winner fails to respond in time, the potential winner will be disqualified and the prize will be forfeited.  If the potential winner is unable or unwilling to provide or verify all registration and response information, the potential winner will be disqualified and the prize will be forfeited.  Notification will be deemed to have occurred immediately upon the sending of an email or any other form of communication Lockerz may use to contact the potential winner.  Lockerz is not responsible for and will not be liable for any late, misdirected or unsuccessful efforts to notify a potential winner or for any late, misdirected, incomplete, or unsuccessful efforts of the potential winner to respond and/or provide the information requested as part of verification.   Lockerz has no obligation to use more than one method to notify a potential winner or, if it elects to use a phone number provided by the potential winner, to leave a voicemail or other message.

Additional Prize Terms and Conditions

8. No more than one Grand Prize will be awarded as part of this Promotion.  No other prizes will be awarded.  The Grand Prize may not be sold, traded or otherwise transferred to another person or entity.  Nor can the Grand Prize be exchanged, transferred, redeemed or substituted for cash or any other goods or services unless expressly authorized in writing by Lockerz.  Grand Prize details and availability are subject to change.
9. Lockerz reserves the right to substitute any prize or element of any prize with another prize or element of the prize of equal or greater value.  Lockerz does not make any warranties, representations, guarantees, or promises of any kind, whether express or implied in fact or in law, relating to any prize or element thereof or the use, value, or enjoyment of a prize, including without limitation, its quality, fitness for a particular purpose or merchantability.
10. The Grand Prize will consist of: 
1. Two (2) tickets for the winner and one guest to attend two (2) nights of the 2012 iHeartRadio Music Festival (“iHR Festival”) in Las Vegas, Nevada;
2. Travel via two round-trip, coach/economy fare, commercial airline passenger tickets between the iHR Festival’s Las Vegas destination and any other major metropolitan airport located in the United States that routinely services commercial passenger aircraft, is designated as an international airport under United States regulations (“Airport of Origin”) and is nearest the winner’s primary residence.  In the event of any dispute, Lockerz in its sole discretion will determine the airport.  The airline tickets will be non-refundable/non-transferable and not valid for upgrades or frequent flyer miles.
3. Two (2) nights’ lodging at a Las Vegas area hotel of Lockerz’s choosing.   (“Hotel”).
4. Ground transportation for the winner and one guest from the Las Vegas airport of arrival to the Hotel and from the Hotel to the Las Vegas airport
5. Total approximate retail value of the Grand Prize is estimated to be $2,100.00 (USD).  Grand Prize is provided by Lockerz and its value may vary depending on factors such as the departure location, the day and time of travel, and hotel availability.  Any difference between the actual value and the estimated approximate retail value will not be awarded to the winner.
11. The following restrictions and conditions are placed on the Grand Prize:
1. The Festival and other elements of the Grand Prize are date specific, taken individually and collectively, and therefore the winner must be available on the dates specified.  If the winner is not available on the specified dates, the winner will be disqualified, the prize will be forfeited, and Lockerz may choose an alternate winner.
2. No one under the age of 16 years old will be permitted to travel;
3. Anyone under the age of 21 years old must travel and lodge with a person 21 years old or older. 
4. If the winner is a minor in his/her state or jurisdiction of residence, the travel and lodging guest must be the winner’s parent, guardian or other legally responsible adult of the winner.  If the travel guest is a minor, the winner must be the parent, guardian or other legally responsible adult of that minor.  Minors also must be accompanied at all times during the trip, including without limitation the air and ground travel and during the hotel stay and Festival by this parent, guardian or other legally responsible adult.
5. If the winner is not a minor in his/her state or jurisdiction of residence but is under the age of 21 years old, the winner must travel with and be accompanied at all times during the trip, including without limitation the air and ground travel and during the hotel stay and Festival, by someone over the age of 21 years old.   Lockerz will not be responsible for obtaining, arranging, or bearing any costs associated with additional or alternate tickets or travel or any changes made to completed/booked travel arrangements by the Grand Prize winner or travel guest.  All such costs or expenses will be the sole responsibility of the Grand Prize winner and/or the travel guest.

1. Winner and travel guest must travel on the same itinerary and must take place on and/or within the designated dates and is subject to schedule and availability.  Winner and travel guest also must sign and return a travel release before any ticketing of travel occurs.  All airline tickets are subject to equipment changes, work stoppages, schedule or route changes, and other factors as determined by the air carrier and/or other circumstances outside of Lockerz’s control.  If, for any reason, any trip or lodging element of the Grand Prize is canceled or becomes unavailable, postponed or canceled, Lockerz will not have further responsibility for that element and the Grand Prize may be awarded without the trip element on the same itinerary.  If the Festival or any portion thereof (including without limitation, a scheduled artist or performer) is canceled, becomes unavailable, or is postponed for any reason, Lockerz will not be responsible for replacing the Festival element of the Grand Prize or any portion of that element.
2. Any person selected to win the Grand Prize and her/his travel guest must be willing and legally able to fly via regularly scheduled commercial air transport, including without limitation, having all necessary identification and/or travel documents.  Lockerz reserves the right to disqualify or not permit anyone who cannot meet this requirement to use the Grand Prize or any element of the Grand Prize. Lockerz has no obligation to alter any element of the Grand Prize to accommodate a person who wishes to travel to Las Vegas via some means other than commercial passenger air transport.  However, if in Lockerz’s judgment and sole discretion, the winner’s residence is sufficiently close to Las Vegas, Nevada, ground transportation may be substituted for the round-trip airline tickets.

8. Lockerz is only providing the specified air transportation, hotel accommodations and ground transportation between the Hotel and the Las Vegas airport.  The Grand Prize winner alone will be responsible for: any and all applicable taxes, duties, or other fees or costs imposed or incurred as a result of being awarded the Grand Prize; meeting any and all requirements necessary for travel, and lawful entry to the Hotel and Festival venue, including without limitation, any travel to or from the Airport of Origin; airport transfers; ground transportation other than that provided as part of the Grand Prize between the Hotel and the Las Vegas Airport; all hotel-related charges of any kind other than the room rate and associated room tax, if any, provided as part of the Grand Prize, including without limitation, food, beverages, phone, internet, in-room entertainment, parking, and casino or gaming-related charges or losses; any and all other food or beverages; baggage fees; tips or gratuities; travel insurance; any goods, merchandise or other items sold, purchased, or obtainable at any airport, while en route, or at the Festival; and any and all other expenses, charges and costs not specifically mentioned here.  In addition, you are responsible for complying with any and all Hotel requirements regarding your stay, including without limitation, your conduct, your providing of a credit card or deposit at the time of check-in for incidental charges, and your settling the account in full at the time of check-out.

9. If you are unable to fulfill any requirements of this Promotion, or if, for any reason, including without limitation, accident, illness or emergency, you are unable to travel or attend the Festival or must depart early, or if your participation is terminated by Lockerz prior to the trip or your completion of any activity related to the Grand Prize because of your conduct or discovered ineligibility, there will be no cash or other compensation provided to you, and you will bear any and all associated costs and expenses you may incur to return to your residence.
11. Winner and travel guest agree to accept all blackout dates, space availability requirements, and conditions established by the hotels, airlines and other transportation providers, and Festival venue and promoters. Winner and travel guest must comply with all applicable laws, and any rules and regulations established by the same.  Winner and travel guest each agree that acceptance of any trip taken as a prize is done so entirely upon his/her own initiative, risk, and responsibility. BY ACCEPTING THE GRAND PRIZE, WINNER AND TRAVEL GUEST (AND WHERE WINNER IS A MINOR, PARENT, GUARDIAN OR OTHER LEGALLY RESPONSIBLE ADULT) ACCEPT THE INHERENTLY DANGEROUS NATURE AND RISK IN ANY TRAVEL OR TRANSPORTATION, INCLUDING PERSONAL INJURY AND/OR DEATH, ACKNOWLEDGE THAT HIS/HER PARTICIPATION IN THE GRAND PRIZE ELEMENTS IS VOLUNTARY, ACKNOWLEDGE THAT THERE ARE NATURAL FACTORS AND OCCURRENCES WHICH MAY IMPACT ON OR AFFECT THE SAFETY OF THE ACTIVITIES HE/SHE IS PARTICIPATING IN AND HE/SHE ASSUMES THE RISK OF SUCH FACTORS AND OCCURRENCES AND AGREES THAT LOCKERZ AND RELEASED PARTIES SHALL NOT BE IN ANY WAY RESPONSIBLE FOR ANY RESULTING INJURY AND/OR DEATH.
12. The Grand Prize is to be awarded “as is” and without any warranties of any kind, whether express or implied in fact or in law, including without limitation, any implied warrant of merchantability or fitness for a particular purpose.  Any and all such warranties are expressly disclaimed.

Additional General Requirements:

14. Chances of winning will vary depending on the total number of Qualified Members participating. You understand and agree that this Promotion and your participation in it are subject to and may be void or restricted based on the laws, regulations or rules where you live.  If you are under the age of majority where you live (e.g., under the age of 18 in many states, but higher in others), you need the written permission of a parent, guardian, or other legally responsible adult to participate.

15. By participating in and entering this Promotion,

1. You agree to be bound by these Terms and Conditions and that you are not participating on behalf of any company or third person (whether natural or legal).
2. You agree that Lockerz may provide personally identifiable information about you to a third party where it would enable that third party to provide any element of the Grand Prize or fulfill any requirements related to the awarding or fulfillment of such element.
3. If you win the Grand Prize, you agree, where allowed by law or by the lawful consent of a third party, to grant Lockerz exclusive permission to display, exploit, or otherwise use your name, photograph, voice, and likeness in connection with promoting Lockerz and/or this and other Promotions and you waive any claims brought by you or on your behalf for royalties, fees, damages, losses or other compensation (including without limitation, any attorney’s fees or costs) arising out of or related in any way to any such use.  
4. You agree to release Lockerz, its directors, officers, employees, representatives and agents from any and all liability arising out of any aspect of your participation in this Promotion, whether under a theory of contract, tort, warranty, or other theory.  Without intending to exclude other such aspects of this Promotion, Lockerz particularly notes that Lockerz bears no responsibility for and expressly disclaims any liability for the acts or omissions of you and anyone else involved in any aspect of the Promotion or access to, availability or use of, and the timing, receipt, and accuracy of information transmitted to or received from the Lockerz website, its services or features as a result of any device, form factor or other hardware, any software, and/or network connections you or your invitees may choose to use to make invitations, become a member, or create the requisite Decalz Collections within the Promotion Period.

16. A list naming the Grand Prize winner will be available upon request on or after September 22, 2012.

17. If selected, you agree and grant Lockerz the right to publish, display, make public, or otherwise use the following personal information, including on any publicly accessible portion of the Website (e.g., the Hallway or the Lockerz Blog) or through other social media (e.g., on the Lockerz Facebook page or in a Tweet): (1) Your first name and last initial and (2) your city, state (if applicable), and twitter handle. You also understand and agree that this express consent to disclose certain personally identifiable information is consistent with the Lockerz Privacy Policy whose terms are a condition of and govern your use of the Website and could result in this information appearing elsewhere, whether online or offline, without further action or fault of Lockerz.

18. Lockerz reserves the right to suspend, cancel, or terminate this Promotion or declare it null and void and not award or rescind any prize, if in its sole discretion, Lockerz determines that the rules and integrity of the Promotion have been violated or compromised in any way by any person, whether a participant or non-participant or that it is not possible or no longer practical to complete the Promotion as planned.  Lockerz also reserves the right to amend these Terms and Conditions at any time for any or no reason.

19. Employees of Lockerz, Inc. and their immediate families are not eligible to participate in or win any prize as part of this Promotion.
20. Neither iHeartRadio, Clear Channel, Twitter, Facebook, nor any other third party, carrier, merchant or service provider that may be used in connection with your participating in this Promotion or any prize to be awarded is a sponsor of or affiliated or connected in any way with this Promotion.
